Terms of Service

Effective April 19, 2026 · Last updated June 11, 2026

IMPORTANT — Clinical disclaimer

ezScribe is a documentation tool. It does not provide medical advice, diagnosis, or treatment recommendations. All transcriptions, summaries, and ICD-10 code suggestions must be reviewed, verified, and, where necessary, corrected by a licensed clinician before being relied upon, entered into a patient record, or used for billing. The clinician remains solely responsible for the accuracy, completeness, and appropriateness of the medical record.

1. Agreement to terms

These Terms of Service ("Terms") are a binding agreement between you and ezScribe ("ezScribe", "we", "us", or "our") governing your access to and use of the ezScribe website, web application, Android application, and related services (collectively, the "Services").

By creating an account, installing the app, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility

You may use the Services only if (a) you are at least 18 years old, (b) you are a licensed healthcare professional or work under the direction of one, (c) your use complies with all applicable laws including HIPAA, state medical-practice acts, and data-protection laws, and (d) you are not barred from using the Services under U.S. law.

3. Your account

You are responsible for all activity under your account and for keeping your login credentials confidential. Notify us immediately at security@ezscribe.net if you suspect unauthorized access.

Accounts are for a single clinician. Sharing an account with another clinician or with non-clinical staff as a substitute for individual licenses is prohibited.

4. Your responsibilities as a clinician

  • Obtain all legally required consents from patients (or their guardians) before recording a visit. ezScribe does not obtain these consents on your behalf.
  • Comply with state "all-party-consent" wiretap laws where applicable.
  • Review, verify, and, if necessary, correct every AI-generated transcription and summary before using it.
  • Use your own clinical judgment for diagnosis, treatment, and billing. AI-suggested ICD-10 codes are suggestions only and may be wrong.
  • Do not enter information about persons other than the patient in a way that would violate their privacy.

5. Acceptable use

You agree not to:

  • Use the Services in violation of any law or regulation
  • Upload content you do not have the right to upload
  • Attempt to reverse-engineer, scrape, or extract source code
  • Interfere with or degrade the Services, or circumvent rate limits
  • Use the Services to build a competing product or train an external AI model
  • Transmit malware, send unsolicited communications, or impersonate others
  • Input data that does not belong in a clinical record (e.g., payment card numbers, government IDs unrelated to the visit)

We may suspend or terminate access for violations of this section.

6. Subscriptions, trials & billing

6.1 Free trial

We may offer a 14-day free trial. We collect your card upfront so the trial can continue seamlessly into a paid subscription, but you will not be charged during the 14-day trial period. You may cancel any time before the trial ends.

6.2 Paid subscriptions

Paid subscriptions are billed in advance on a monthly or annual cycle at the price listed at checkout. Applicable taxes are added. By providing payment information, you authorize us or our payment processor to charge the payment method on each renewal date.

6.3 Price changes

We may change subscription prices. Changes will not affect an active subscription until the next renewal, and we will give you at least 30 days' notice before any increase.

6.4 Cancellation & refunds

You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not provide refunds for partial periods except where required by law. Refund requests are only considered within the first month of your paid subscription; we do not provide refunds for any billing period after the first month of the subscription, except where required by law.

6.5 Failed payments

If a payment fails we may suspend your Services after a reasonable grace period and notify you by email. Your Clinical Content remains available during this period unless your account is terminated under Section 11.

7. Intellectual property

ezScribe and all software, designs, graphics, and content making up the Services are owned by us or our licensors and are protected by intellectual-property laws. These Terms grant you a limited, revocable, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

You retain ownership of your Clinical Content. By using the Services, you grant us a limited license to process the Clinical Content solely to provide the Services to you. We do not claim ownership of your patients' PHI, and we will not use your Clinical Content to train third-party AI models.

8. Feedback

If you send us feedback or suggestions, you grant us a royalty-free, worldwide, perpetual license to use it without restriction or compensation.

9. Service availability

We work hard to keep the Services available 24/7 but we do not guarantee uninterrupted operation. The Services may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We are not liable for delays or failures caused by events outside our reasonable control, including internet outages, cloud provider incidents, or force-majeure events.

10. Disclaimer of warranties

To the maximum extent permitted by law:

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be error-free, secure, or uninterrupted, or that AI-generated output will be accurate or suitable for any particular patient or clinical use.

11. Limitation of liability

To the maximum extent permitted by law:

In no event will ezScribe, its affiliates, officers, employees, or agents be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or clinical outcomes, arising out of or in connection with the Services, even if advised of the possibility of such damages.

Our total cumulative liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) the amounts you paid to us in the 12 months preceding the event giving rise to the liability, or (b) USD $100.

Nothing in these Terms limits liability that cannot be limited under applicable law (such as gross negligence, willful misconduct, or statutory consumer rights).

12. Indemnification

You agree to defend, indemnify, and hold harmless ezScribe from any claims, damages, losses, and expenses (including reasonable attorney fees) arising out of (a) your use of the Services in violation of these Terms, (b) your violation of any law or third-party right, or (c) the Clinical Content you upload, including any failure to obtain required patient consents.

13. Termination

You may terminate your account at any time from account settings. We may suspend or terminate your access (a) if you materially breach these Terms, (b) if required by law, (c) for non-payment, or (d) if continuing to provide the Services to you creates a security or legal risk.

Upon termination we will retain and then delete your Clinical Content in accordance with our Privacy Policy. Sections 7 through 19 survive termination.

14. Changes to the Services or these Terms

We may change, add, or remove features of the Services. Material changes to these Terms will be announced by email and/or in-app notice at least 30 days before taking effect (shorter notice may apply for legal, security, or regulatory reasons). Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

15. Governing law & dispute resolution

These Terms are governed by the laws of the State of Tennessee, U.S.A., without regard to conflict-of-laws principles. The exclusive venue for any non-arbitrable dispute is the state or federal courts located in Davidson County, Tennessee.

The parties will first attempt to resolve any dispute informally by contacting legal@ezscribe.net. If a dispute cannot be resolved within 30 days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except for claims for injunctive relief or intellectual-property infringement, which may be brought in court. Arbitration will take place in Nashville, Tennessee unless the parties agree otherwise. YOU AND EZSCRIBE WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

16. Canadian healthcare providers

If you practise in Canada, you acknowledge and agree that:

  • You act as the health information custodian / trustee for your patients' personal health information, and you are responsible for complying with PIPEDA and applicable provincial legislation (e.g., PHIPA in Ontario, HIA in Alberta, PIPA in British Columbia, Quebec Law 25).
  • Audio recordings and transcripts are processed by AI service providers located in the United States; you are responsible for informing patients of this cross-border processing and obtaining any required consent before recording.
  • When your account region is set to Canada, generated notes use descriptive diagnoses without ICD-10 billing codes; you remain responsible for applying the correct provincial billing codes in your own systems.

17. Export & sanctions

You may not use the Services if you are located in, or are a national of, any country or entity subject to U.S. embargoes or export restrictions.

18. Assignment & entire agreement

You may not assign these Terms without our prior written consent. We may assign these Terms to any affiliate or to a successor in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, constitute the entire agreement between you and ezScribe regarding the Services.

19. Severability & waiver

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of that right.
